FANM Growth provides strategic advisory, algorithmic marketing, search engine optimization (SEO), answer engine optimization (AEO), and media management services. Digital advertising markets, search algorithms, and consumer behavior are inherently volatile. We do not promise, warrant, or guarantee specific monetary returns, pipeline values, conversion counts, or rankings. Review Section 4 for complete legal details.
01. Parties & Acceptance of Terms
These Terms of Service ("Terms") constitute a legally binding agreement between you or the entity you represent ("Client", "User", "you") and FANM Growth, operated as a business unit of KR Knowledge Realisation Private Limited ("Agency", "we", "us", "our"). By accessing our website (fanmgrowth.com), submitting an inquiry, utilizing our growth calculators, or executing a Statement of Work (SOW), you acknowledge that you have read, understood, and agree to be bound by these Terms.
02. Professional Scope of Services
FANM Growth delivers enterprise-grade performance marketing, media planning, RevOps automation, semantic data architecture for LLM/AEO visibility, and sales pipeline optimization. All specific project scopes, deliverables, timelines, and payment schedules are governed by mutual Statements of Work (SOW) or Master Services Agreements (MSA), which incorporate these Terms by reference.
03. Volatile Market Conditions & External Variables
Digital commerce and commercial media ecosystems are subject to continuous, unpredictable fluctuations outside the control of the Agency. The performance of any campaign or revenue architecture is influenced by variables including, without limitation:
- Third-Party Platform Shifts: Unannounced algorithmic updates by Google, Meta, LinkedIn, OpenAI, Anthropic, or Perplexity.
- Ad Auction Dynamics: Fluctuations in Cost Per Click (CPC), Cost Per Mille (CPM), and competitor auction bids.
- Client Sales Execution: The speed, competency, and follow-through of the Client's internal sales representatives in qualifying and closing inbound leads.
- Market Demand & Economic Climate: Seasonal downturns, macroeconomic recessions, supply chain disruptions, and pricing shifts.
- Client Technical Stability: Downtime of Client servers, broken CRM webhooks, payment gateway failures, or tracking token revocations caused by Client personnel.
04. Express Disclaimer of Guarantees ("No Promised Results")
NO WARRANTIES: TO THE MAXIMUM EXTENT PERMITTED BY LAW, ALL SERVICES, ADVISORY DELIVERABLES, DATA AUDITS, AND SOFTWARE INTEGRATIONS ARE PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS. THE AGENCY DISCLAIMS ALL WARRANTIES, EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WITHOUT LIMITATION WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
NO REVENUE GUARANTEE: THE AGENCY DOES NOT WARRANT, GUARANTEE, OR PROMISE THAT SERVICES WILL GENERATE ANY SPECIFIC REVENUE, NET PROFITS, RETURN ON AD SPEND (ROAS), INBOUND CALL VOLUME, LEAD COUNT, OR FIRST-PAGE SEARCH/AI RANKING.
Any representations of historical client returns, case study outcomes, or calculator projections published on our website or marketing collateral represent historical outcomes under specific historical circumstances and shall NOT be construed as a promise of identical future results.
05. Limitation of Liability
IN NO EVENT SHALL FANM GROWTH, KR KNOWLEDGE REALISATION PRIVATE LIMITED, ITS DIRECTORS, OFFICERS, EMPLOYEES, AGENTS, OR AFFILIATES BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, PUNITIVE, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF REVENUE, ANTICIPATED PROFITS, BUSINESS REPUTATION, GOODWILL, DATA, OR ADVERTISING ACCOUNT SUSPENSIONS, REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE).
THE AGENCY'S TOTAL CUMULATIVE LIABILITY ARISING OUT OF OR RELATING TO THESE TERMS OR ANY SERVICE AGREEMENT SHALL IN ALL CIRCUMSTANCES BE STRICTLY CAPPED AT AND LIMITED TO THE TOTAL MANAGEMENT FEES ACTUALLY PAID BY CLIENT TO THE AGENCY IN THE THIRTY (30) DAYS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO LIABILITY.
06. Client Indemnification
Client agrees to defend, indemnify, and hold harmless FANM Growth, KR Knowledge Realisation Private Limited, and its personnel against any third-party claims, lawsuits, fines, liabilities, damages, and legal costs arising from:
- Any product, service, claim, offer, or commercial representation made by Client;
- Any violation by Client of consumer protection, medical/health claims, or truth-in-advertising laws;
- Client's infringement of any third-party copyright, trademark, trade secret, or privacy right;
- Client's failure to maintain an accurate and legally compliant privacy policy on Client's own web properties.
07. Ad Spend & Third-Party Billings
All media budgets and ad spend (including Google Ads, Meta Ads, LinkedIn Campaign Manager, TikTok Ads) shall be paid directly by Client to the respective ad networks via Client's own corporate billing credit cards. The Agency shall not be liable for billing disputes, unauthorized charges, ad account pauses, or credit limit rejections imposed by third-party ad networks.
08. Intellectual Property Rights
The Agency retains all right, title, and interest in its pre-existing proprietary methodologies, algorithm frameworks, prompt engineering blueprints, automation workflows, tracking architectures, and analytics templates. Upon full payment of all invoiced fees, Client is granted a non-exclusive, perpetual license to utilize customized marketing deliverables created specifically for Client's enterprise.
09. Governing Law & Dispute Resolution
These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the substantive laws of India, without regard to conflict of laws principles. The parties agree that any legal action or arbitration arising under these Terms shall be instituted exclusively in the competent courts having jurisdiction in Srinagar / New Delhi, India.
